Terms & Condition

Georgia limited liability company (“BetterRydeWithUs,” “we,” or “us”). These Terms of Service (the "Terms") govern your

use of the Platform. By accessing or using the Platform, you agree to be bound by these Terms.

1. ELIGIBILITY:

You must be at least 18 years old and able to form legally binding contracts to access or use the Platform.

2. ACCOUNT REGISTRATION:

To access certain features of the Platform, you may need to register for an account (an "Account"). If you are

registering on behalf of a business or entity, you represent and warrant that you have the authority to enter into

this Agreement on behalf of that entity.

3. ACCOUNT SECURITY:

You are responsible for maintaining the confidentiality of your Account information and for all activities that

occur under your Account. You must immediately notify BetterRyde of any unauthorized use of your Account or

password, or any other breach of security known to you.

4. USER CONTENT:

The Platform may allow you to submit content (the "User Content"). By submitting User Content, you agree to the

following:

- You own all rights in the User Content and have the right to grant BetterRyde,LLC the license set forth below;

- Your User Content does not violate any third party's rights, including intellectual property rights;

- Your User Content complies with BetterRydeWithUs, LLC’s community guidelines and all applicable laws;

- You will hold BetterRyde harmless from any claims related to your User Content.

BetterRydeWithUs, LLC has the following license to User Content:

- A worldwide, non-exclusive, sublicensable, royalty-free, transferable license to use, copy, modify, create

derivative works based on, publicly display, and publicly perform User Content in connection with operating and

providing the Platform and BetterRydeWithUs, LLC’s business;

- The ability to distribute your User Content through third-party platforms (such as social media websites) and to

advertise your User Content on third-party platforms.

5. OWNERSHIP:

The Platform and its content are owned by BetterRydeWithUs,LLC or its licensors, and is protected by intellectual property

laws.

6. USER CONTENT OWNERSHIP:

BetterRydeWithUs,LLC does not claim ownership of your User Content. You retain all rights in your User Content.

7. PROHIBITED USES:

You agree not to use the Platform for any unlawful purpose, or in a way that would violate third parties’ rights

or cause injury to any person or entity.

8. TERMINATION:

BetterRydeWithUs, LLC may terminate your Account at any time if you breach these Terms. You may also terminate your Account

by contacting BetterRyde. Upon termination, you must destroy all copies of information that you have obtained from

the Platform.

9. DISCLAIMER:

THE PLATFORM IS PROVIDED ON AN "AS IS" BASIS, AND BETTERRYDE MAKES NO WARRANTIES OR REPRESENTATIONS REGARDING THE

SERVICE OR ITS AFFILIATED PRODUCTS OR SERVICES. BETTERRYDE DISCLAIMS ANY IMPLIED WARRANTIES OF MERCHANTABILITY,

FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. LIMITATION OF LIABILITY:

IN NO EVENT WILL BETTERRYDE BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY,

INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, EVEN IF BETTERRYDE HAS BEEN ADVISED OF THE

POSSIBILITY OF SUCH DAMAGES.

11. DISPUTE RESOLUTION:

You agree that any disputes arising out of or relating to these Terms will be governed by the laws of Georgia, USA

without regard to its conflict of law provisions, and you consent to the jurisdiction of the state and federal

courts located in Fulton County, Georgia.

12. MISCELLANEOUS:

These Terms constitute the entire agreement between BetterRyde and you with respect to the subject matter hereof,

and supersede all prior or contemporaneous communications and proposals, whether electronic, oral or written,

between BetterRyde and you with respect to such subject matter.
